GOVERNANCE HIGHLIGHTS Lindsay’s CEO and Senior Leadership Team, reporting to the Board of Directors, are responsible for the day-to-day conduct of the Company’s business, including economic, social, environmental and governance aspects. Key corporate governance policies and practices are available on our website. SETTING HIGH ETHICAL STANDARDS We set high expectations for the ethical conduct of our leaders, employees, suppliers and business partners, and we believe that maintaining high standards of accountability and transparency are fundamental for the long-term success of our business. Stringent policies and procedures are outlined in our Code of Business Conduct and Ethics, supported by detailed anti-corruption and export policies compliance, and ongoing training that outlines our expectations of every employee and intermediary working with Lindsay. We ask employees to review and recommit to the Code of Business Conduct and Ethics each year. An automated workflow process helps us track compliance. Comprehensive anti-corruption training is provided for our executives as well as employees working in functions such as Finance and Sales. Additionally, internal policies outline clear expectations when doing business with government customers. Our operations go through formal Foreign Corrupt Practices Act (FCPA) audits on a rotating schedule, all with the involvement of our Legal, Audit and Finance departments. Our products are distributed primarily through a dealer/distributor network, and we place a high priority on ensuring intermediaries represent us in an ethical and responsible manner. We use a rigorous screening and evaluation process for prospective intermediaries. The process references the Corruption Perception Index (CPI), updated each year by Transparency International, which informs the level of due diligence required when onboarding new business partners. Dealers/distributors are also required to complete an FCPA anti-corruption training exercise, and acknowledge their commitments every two years. 20 WE DO WHAT IS RIGHT, NOT WHAT IS EASY
