A. Acceptance and modification of the terms of service

   This agreement is an automatic renewal entrustment deduction service provided by Moobox Technology Co., Ltd. (hereinafter referred to as “ moobox ” ) and Moobox Member (hereinafter referred to as “ Member ” ) regarding the use of Moobox by members (hereinafter referred to as “ the service” " ) The agreement ( " the agreement " ), which describes the rights and obligations of Moobox and its members regarding the use of the Service and related aspects. “ Member ” means an individual or a single entity that enjoys the membership services provided by Moobox.

 Moobox Technology Co., Ltd. hereby reminds members to read this agreement carefully to ensure that members fully understand the terms of the Terms of Service, including exempting the terms of Moobox liability and restricting the terms of the membership. Members are requested to read carefully and choose to accept or not accept These Terms of Service, otherwise members may not register, log in or use the services covered by these Terms of Service.

   This Agreement constitutes a condition precedent to the use of the Service provided by Moobox (whether an individual or a unit), unless the Member accepts the terms of this Agreement, the Member shall not be entitled to use the Service, and the Member's choice to use the Service will be deemed to be agreed to be accepted by this Agreement. The terms and conditions are bound.

B． The service description

1. This service is for the member's demand for automatic renewal. Under the premise that the member has opened the service, the service that the member has not been able to renew due to negligence or other reasons may be avoided, and the member may irrevocably authorize Moobox. The billing period may be deducted from the member's own recharge account, the third-party payment account bound to the member account, the bank card, and the communication account (hereinafter collectively referred to as " account " ) when the member expiration date is about to expire subscription service fee. The premise of the implementation of the service is that the member has bound his Moobox member account with the above account and can successfully debit the account from the above account.

2. The automatic renewal refers specifically. Based on the premise of the first paragraph of this article, Moobox receives the deduction method of the member's next billing period monthly fee through the above account, and the member needs to ensure that Moobox can deduct the loan from the above account successfully, because the above account The failure of the renewal due to the insufficient balance of the deductible may be borne by the member.

3. Members who are enjoying this service shall be bound by the "Moobox User Agreement" and the "Moobox Member Agreement". When the member uses the service, the member's use behavior is regarded as its service terms for the service and Moobox. Consent to all types of publicity issued by the Service.

4. The service provided by Moobox to members is limited to the use of members on the Moobox platform. Any illegal use of malicious methods such as malicious cracking to separate the service content provided by Moobox from the Moobox platform is not an agreement in this agreement. This service. All legal consequences caused by this are the responsibility of the perpetrator, and Moobox will pursue the legal liability of the perpetrator according to law.

C. The rights and obligations of both parties

1. Moobox is responsible for providing members with the inquiry about the specific circumstances of the automatic renewal fee, but is not responsible for printing the relevant invoice and forwarding it to the member.

2. Moobox deducts the next billing cycle subscription service fee from the above account of the member, and deducts the amount on the same day, and credits the payment to the member's payment record, and at the same time extends the member's validity period accordingly.

3. If there is a mistake in the deduction process, Moobox and members should cooperate closely to find out the reasons and each bear the losses caused by their own faults; if the losses caused by the unequal ambiguity of the two parties, the two parties shall bear corresponding responsibilities according to the degree of fault. If both parties are responsible, the parties shall share the responsibility.

4. Moobox may change or modify the relevant service contents, rules and terms of this Agreement according to its business development or technical upgrade, etc. Moobox will publicize the revised content on the Moobox related page before making the above changes or modifications. However, there is no obligation to make separate notices. If the member does not agree to the modification of this agreement, the service that has been acquired may be cancelled and the use will be stopped; if the member continues to use the service provided by Moobox, the member is deemed to have accepted all the modifications of this agreement.

5. The service is selected by the member to cancel. If you need to cancel the subscription, please open the Apple mobile phone “ Settings ” -> enter the “iTunes Store and App Store” -> click “App ID” , select “ View App ID” , enter On the " Account Settings " page, click " Subscribe " to select the Moobox member to cancel the subscription.

If the subscription is not closed at least 24 hours before the end of the subscription period , it is deemed that the member agrees that Moobox will make an unscheduled deduction attempt according to certain rules. Once the deduction is successful, Moobox will open the subscription for the next billing cycle for the member. service.

6. If the price of the monthly service is adjusted during / after the automatic renewal, the current effective price shall prevail.

7. Moobox does not charge any fees for the member to open the service, but Moobox has the right to decide whether to charge the service itself or adjust the automatic renewal period and fees according to business needs or market changes, etc., and publicize the membership on the relevant page. .

D. The agreement validity period, termination

1. This Agreement shall become effective after the Member chooses to accept or use the Service until the termination of the Service / Revocation of membership.

2. The member has the right to terminate the service at any time in the member account settings. After the termination of the service, Moobox will stop providing the service to the member.

3. The order that the member has entrusted Moobox to automatically renew the deduction before the termination of the service is still valid. Moobox will not refund the fee deducted based on the instruction, and the member shall bear the relevant responsibilities.

E. Liability for breach of contract

  If one party breaches the contract, the observant party has the right to obtain compensation through the dispute resolution method agreed by both parties.

F. Dispute resolution and legal application

  Moobox and members shall resolve the disputes arising from the implementation of this agreement through friendly negotiation. If no dispute can be resolved through negotiation, either party has the right to submit the dispute to the Shanghai Jingan District People's Court for settlement. The interpretation, validity and enforcement of this Agreement are subject to the laws of the People's Republic of China.
