This Registration Statement relates to the registration of additional shares of common stock of Unit Corporation, a Delaware corporation (the Company or the Registrant), to be issued pursuant to the Second Amended and Restated Unit Corporation Stock and Incentive Compensation Plan dated May 6, 2015 (the Plan). The additional shares relate to the amendment and restatement of the Plan approved by the stockholders of the Registrant at the Annual Meeting of Stockholders on May 6, 2015, to, among other things, increase the number of shares of common stock available for issuance under the Plan by 1,200,000 shares. As General Counsel and Secretary of Unit Corporation, a Delaware corporation (the Company), I have supervised the preparation of the registration statement on Form S-8 (the Registration Statement) filed by the Company under the Securities Act of 1933, as amended, and the rules and regulations promulgated thereunder, relating to the registration of 1,200,000 shares of the common stock, par value $.20 per share, of the Company (Common Stock).
